1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of services provided by Concentric Media Sdn Bhd (“Company”, “we”, “our”, or “us”).

By accessing or using our platform, applications, websites, or services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our services.

2. Services

Our services facilitate the onboarding, configuration, and management of business messaging services, including integrations with Meta Business Manager, WhatsApp Business Platform, and related communication services.

We may modify, suspend, or discontinue any part of the services at any time.

3. Eligibility

You represent and warrant that:

  • You are authorized to act on behalf of the business you represent.
  • Information provided during registration is accurate and complete.
  • You will comply with all applicable laws and regulations.
  • You will comply with Meta’s policies and WhatsApp Business policies.

4. Customer Responsibilities

You are responsible for:

  • Maintaining the confidentiality of account credentials.
  • Securing access to your Meta Business Manager and WhatsApp Business Accounts.
  • Ensuring lawful use of messaging services.
  • Obtaining all required consents before sending messages.

You must not use the services for:

  • Spam or unsolicited communications.
  • Fraudulent or deceptive activities.
  • Illegal activities.
  • Activities prohibited by Meta or WhatsApp policies.

5. Meta and WhatsApp Services

Our platform integrates with services provided by Meta Platforms, Inc.

Your use of WhatsApp Business Platform, Meta Business Manager, and related services is subject to Meta’s applicable terms and policies.

We are not responsible for:

  • Decisions made by Meta regarding account approval or rejection.
  • Messaging limitations imposed by Meta.
  • Suspension or termination of Meta or WhatsApp accounts.
  • Service interruptions originating from Meta systems.

6. Intellectual Property

All software, documentation, trademarks, branding, and related materials provided by us remain our exclusive property or the property of our licensors.

You may not:

  • Copy or reverse engineer our software.
  • Resell the services without authorization.
  • Remove proprietary notices.

7. Data and Privacy

Our collection and use of information are governed by our Privacy Policy.

By using the services, you consent to the processing of information as described in the Privacy Policy.

8. Service Availability

We will use commercially reasonable efforts to provide reliable services.

However, we do not guarantee:

  • Continuous availability.
  • Error-free operation.
  • Compatibility with all third-party services.

Maintenance, upgrades, outages, and third-party failures may affect availability.

9. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business opportunities, or data.

Our total liability arising from or relating to the services shall not exceed the fees paid by the customer to us during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the services.
  • Your violation of these Terms.
  • Your violation of applicable laws or third-party rights.

11. Suspension and Termination

We may suspend or terminate access to the services if:

  • You violate these Terms.
  • We are required to do so by law or regulatory authority.
  • Meta or other upstream providers terminate related services.

Termination does not relieve you of obligations incurred before termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
